Welcome to SPOD (Space On Demand). SPOD is a digital marketplace that enables users to discover, list, inquire about, and book non-residential spaces across the United States.
These Terms & Conditions govern your access to and use of the SPOD website, platform, services, content, tools, and features. By using SPOD, you agree to be bound by these Terms & Conditions.
If you do not agree with these terms, you should not use the platform.
About SPOD
SPOD is an online marketplace for non-residential spaces, including but not limited to:
- Office spaces
- Coworking spaces
- Meeting rooms
- Training rooms
- Warehouses
- Storage spaces
- Trading addresses / business addresses
- Pop-up retail spaces
- Event spaces
- Studios / live streaming spaces
- Commercial spaces
- Vacant spaces
- Industrial spaces
- Corporate retreat venues
- Agricultural land
- Empty plots / grounds
- Other business-use spaces
SPOD connects:
- Space Providers / Sellers / Hosts who list spaces, and
- Space Seekers / Buyers / Clients / Guests who browse, inquire, and book spaces.
SPOD is a platform only. SPOD is not the owner, operator, manager, broker, lessor, or custodian of the listed spaces unless explicitly stated otherwise.
Eligibility
To use SPOD, you must:
- Be at least 18 years old;
- Have legal capacity to enter into binding agreements;
- Use the platform only for lawful business or commercial purposes;
- Provide accurate, complete, and current account and booking information.
By using SPOD, you confirm that you meet these eligibility requirements.
Account Registration
To access certain features, users may be required to create an account.
You are responsible for:
- Maintaining the confidentiality of your login credentials;
- All activity conducted through your account;
- Ensuring your information remains accurate and up to date.
SPOD reserves the right to suspend or terminate accounts that contain false, misleading, incomplete, or suspicious information.
Listings
SPOD currently allows free standard listings for eligible spaces.
By posting a listing, the Space Provider confirms that:
- They own the space or are legally authorized to list it;
- The listing information is accurate and not misleading;
- The space is suitable for the use described;
- The listing complies with all applicable federal, state, county, city, zoning, licensing, safety, and other legal requirements.
SPOD may edit, reject, suspend, or remove listings that:
- Violate these Terms;
- Contain false or misleading content;
- Include prohibited content;
- Present legal, regulatory, operational, or reputational risk.
No Direct Contact Information in Listings
To maintain transaction integrity and platform security, Space Providers may not publicly post direct contact information within listings, including but not limited to:
- Phone numbers
- Email addresses
- Website URLs
- Social media handles
- QR codes
- WhatsApp numbers
- External booking links
Users must communicate and transact through SPOD where applicable.
Verification
SPOD may require identity verification for certain users, particularly Space Providers / Sellers.
Verification may be conducted through third-party providers such as identity verification partners. Completion of verification does not constitute a guarantee, certification, endorsement, or warranty by SPOD.
Users remain responsible for conducting their own due diligence before entering into any arrangement.
Bookings and Payments
SPOD enables users to submit booking requests, make bookings, schedule tours, and make payments through the platform.
By making a booking, the user agrees that:
- All booking information provided is accurate;
- Payments must be made through SPOD where required;
- Any recurring or scheduled payments under a booking arrangement must continue according to the applicable booking terms;
- Transactions initiated through SPOD must remain on-platform.
SPOD may offer different booking flows, including:
- Instant booking
- Request to book
- Inquiry / request information
- Schedule a tour
A booking is not final until confirmed through the SPOD platform.
Off-Platform Dealings Prohibited
Any attempt by users to bypass SPOD in relation to a lead, inquiry, booking, listing, or connection originated through the platform may constitute a violation of these Terms.
SPOD reserves the right to suspend or permanently remove users who attempt to move platform-originated transactions off-platform in violation of these Terms.
Use of Spaces and User Responsibility
SPOD is not responsible for how a listed space is used by the parties.
The Space Provider and the Space Seeker / Buyer are solely responsible for:
- Determining whether the intended use is suitable and lawful;
- Ensuring the activity complies with all applicable laws and regulations;
- Ensuring any goods, materials, equipment, stock, inventory, or stored items are lawful and permitted;
- Conducting their own due diligence before proceeding.
SPOD does not accept responsibility for:
- Illegal activity conducted at a space;
- Unlawful storage of goods or materials;
- Misuse of property;
- Damage arising from unauthorized or unlawful use;
- Any arrangement between the parties that violates local law.
If a user stores prohibited, dangerous, or illegal items in a storage or workspace facility, responsibility lies solely with the relevant users involved, not SPOD.
Legal Compliance and Jurisdiction
Users are responsible for ensuring that their conduct, listing, booking, use of space, and business activity comply with all applicable:
- Federal laws
- State laws
- County laws
- City / municipal laws
- Zoning regulations
- Licensing requirements
- Safety and fire codes
- Environmental regulations
- Industry-specific regulations
- Rules of any applicable governing body or authority
Laws vary from state to state and city to city. SPOD does not guarantee that a specific use is lawful in a given jurisdiction. Users must perform their own legal and practical due diligence.
Prohibited Uses
Users may not use SPOD to:
- Engage in illegal, fraudulent, harmful, or deceptive conduct;
- Misrepresent a listing or booking;
- List property without authority;
- Conduct prohibited business activity;
- Store illegal or hazardous materials unlawfully;
- Circumvent the platform;
- Infringe rights of others;
- Upload malicious code or attempt to compromise platform security;
- Harass, threaten, or abuse other users.
SPOD reserves the right to remove content, cancel access, or take action where misuse is suspected.
Content and Intellectual Property
All platform branding, content, software, design, graphics, text, and functionality are owned by or licensed to SPOD unless otherwise stated.
Users may not copy, reproduce, republish, distribute, or exploit SPOD materials without prior written consent.
By posting content on SPOD, users grant SPOD a non-exclusive right to display, reproduce, and use that content for platform operation, promotion, moderation, and listing display.
Disclaimer of Warranties
SPOD provides the platform on an “as is” and “as available” basis.
SPOD does not guarantee:
- Uninterrupted access;
- Error-free performance;
- Continuous availability of any listing;
- Suitability, safety, or legality of a particular space;
- Accuracy of all user-generated content;
- That any booking will be accepted or completed.
SPOD does not warrant or guarantee the conduct, reliability, or performance of any user.
Limitation of Liability
To the maximum extent permitted by law, SPOD shall not be liable for any indirect, incidental, special, consequential, punitive, or business-related losses, including but not limited to:
- Loss of income
- Loss of business opportunity
- Loss of data
- Property damage
- Business interruption
- Disputes between users
- Misuse of a space
- Unauthorized acts by a provider or buyer
SPOD’s role is limited to providing the platform and related services.
Indemnity
You agree to indemnify and hold harmless SPOD, its owners, affiliates, officers, staff, and service providers from claims, losses, liabilities, damages, and expenses arising from:
- Your use of the platform;
- Your listing or booking activity;
- Your breach of these Terms;
- Your violation of law;
- Your misuse of any space;
- Any dispute between you and another user.
Suspension and Termination
SPOD may suspend, restrict, or terminate access to the platform at its sole discretion where it believes a user has:
- Violated these Terms;
- Engaged in misconduct;
- Exposed SPOD or other users to risk;
- Provided false or suspicious information.
SPOD may also remove listings or accounts without notice where necessary for compliance, security, trust, or operational reasons.
Changes to These Terms
SPOD may update these Terms & Conditions from time to time. Updated terms will take effect once posted on the platform.
Your continued use of SPOD after updates are posted constitutes your acceptance of the revised terms.
Governing Law
These Terms shall be governed in accordance with the applicable laws of the relevant U.S. jurisdiction, subject to the location of the business, listing, user, and/or transaction, and any other governing law designated by SPOD.
Note: If you want, later I can make this clause cleaner once you finalize the company state/jurisdiction.
